Vendor Terms
& Policy

Effective Date: August 1, 2026
Version: 1.0
Jurisdiction: United States
Please read these Vendor Terms & Policy ("Agreement") carefully before registering as a vendor on the InOnIt platform. By completing onboarding, creating a listing, or accepting any voucher redemption through InOnIt, you agree to be bound by this Agreement in its entirety. If you do not agree, do not use the platform.

This Agreement is entered into between InOnIt, LLC ("InOnIt," "we," "us," or "our") and the business or individual registering as a vendor ("Vendor," "you," or "your"). It governs your access to and use of the InOnIt mobile application, vendor portal, and all related services (collectively, the "Platform").

By clicking "I Agree" during registration, submitting a deal for review, or redeeming a customer voucher, you represent that you have read, understood, and accepted this Agreement, and that you have the legal authority to bind your business to these terms.

To register as a vendor on InOnIt, you must meet all of the following requirements:

  • Be a legally registered business entity or sole proprietor operating within the United States.
  • Hold all necessary licenses, permits, and insurance required to operate your business in your jurisdiction.
  • Successfully complete InOnIt's business verification process, which includes IRS-based identity and tax verification via our payment partner, Stripe Connect.
  • Provide accurate, complete, and up-to-date information during onboarding and maintain that accuracy throughout your use of the Platform.
  • Not be a business or individual that has previously been suspended or removed from the InOnIt Platform.
InOnIt reserves the right to approve or deny any vendor application at its sole discretion without obligation to provide a reason for denial.

Vendors are responsible for creating, managing, and fulfilling all deals listed on the Platform. By submitting a deal, you agree to the following:

3.1 Accuracy. All deal descriptions, pricing, images, availability windows, and terms must be accurate, current, and not misleading. You may not advertise a value or discount that does not reflect a genuine offering.

3.2 Availability. You must honor every purchased voucher that has not expired, provided the customer presents a valid, unredeemed QR code. You must ensure adequate capacity or inventory to fulfill all deals sold.

3.3 Prohibited Listings. The following are not permitted on the Platform:

  • Illegal goods or services of any kind.
  • Adult content, escort services, or anything of a sexually explicit nature.
  • Tobacco, alcohol (as the primary offering), or controlled substances.
  • Financial, legal, or medical services that require a licensed professional relationship not established at the point of sale.
  • Multi-level marketing schemes, pyramid schemes, or any deceptive sales structures.
  • Any deal that violates applicable federal, state, or local law.

3.4 Deal Expiry. Each deal must include a clear redemption window. Once a customer purchases a deal, the QR code voucher is valid for exactly 7 days from the date of purchase, after which it automatically expires and can no longer be redeemed. Vendors are not obligated to honor expired vouchers. The 7-day window is displayed to the customer at the time of purchase and within their app wallet. InOnIt will not extend voucher validity unless there is a platform-side technical error verified by InOnIt. In all cases where a voucher expires unredeemed, InOnIt retains 100% of the purchase revenue. No payout is issued to the Vendor for unredeemed or expired vouchers.

3.5 InOnIt Review. InOnIt may review, delay, modify, or reject any deal submission that does not comply with this Agreement or our content standards. We reserve the right to remove any live listing at any time without prior notice.

InOnIt does not act as the service provider for any deal. We are a marketplace platform only. The Vendor is solely responsible for the delivery and quality of the experience or product sold.

By listing on InOnIt, you agree to the following fee structure, which applies to all completed transactions:

Fee Type Amount Notes
Platform Commission 25% of the deal price Deducted from vendor payout on each completed transaction
Per Payout Fee $2.50 per payout Flat fee deducted from each Monday payout disbursement

4.1 Commission Calculation. Commission is calculated on the deal face value (the price the customer pays for the deal, excluding the customer platform fee). Example: A $40 deal generates $10.00 in platform commission (25%), and the vendor receives $30.00 before payment processing fees.

4.2 Payment Processing & Payout Fees. InOnIt charges a flat fee of $2.50 per payout to cover Stripe Connect payout processing costs. This fee is deducted from each payout disbursement. By registering as a Vendor, you acknowledge and accept that this flat payout fee will be deducted from your earnings on each payout cycle.

Fee structures may be updated with 30 days' advance written notice to Vendors. Continued use of the Platform after the notice period constitutes acceptance of the updated fees.

5.1 Payout Schedule. Vendor payouts are processed every Monday and cover all vouchers redeemed in the 7-day period ending the prior Sunday. Funds are transferred directly to the bank account connected through your Stripe Connect account. Payouts may be delayed by public holidays or Stripe processing windows, in which case the next available business day applies.

5.2 Stripe Connect & Payout Fees. All payouts are facilitated through Stripe Connect. Vendors must complete Stripe's identity and bank verification process to receive payments. A flat fee of $2.50 per payout is charged to cover processing costs and is deducted automatically from each Monday payout disbursement. InOnIt is not responsible for delays caused by incomplete Stripe verification, banking intermediaries, or holidays.

5.3 Minimum Payout. Payouts below $10.00 may be held and combined with subsequent earned amounts until the threshold is reached, unless the Vendor account is being closed.

5.4 Disputed Transactions. In the event of a customer payment dispute or chargeback, InOnIt reserves the right to withhold or claw back the corresponding payout pending resolution. Vendors will be notified of any active dispute involving their deals.

5.5 Withholding. InOnIt may withhold payouts where there is reasonable suspicion of fraud, misrepresentation, policy violations, or unresolved customer complaints. Withheld funds will be released or forfeited upon conclusion of any investigation.

6.1 QR Code System. All InOnIt deals are fulfilled via a unique QR code issued to the customer at the time of purchase. Vendors must scan the QR code using the InOnIt Vendor App to mark a deal as redeemed before delivering the service or product.

6.2 Staff Mode. For businesses with multiple staff members, the InOnIt Vendor App offers a Staff PIN "Staff Mode" that allows designated employees to scan vouchers without access to the Vendor's financial dashboard or account settings. Vendors are responsible for managing their own Staff PINs and access.

6.3 Responsibility Upon Redemption. Once a voucher has been scanned and confirmed as redeemed, the Vendor is solely responsible for delivering the deal as described. Failure to deliver a redeemed deal may result in account suspension, reversal of payout, or removal from the Platform.

6.4 Invalid Redemptions. Vendors must not:

  • Accept screenshots or verbal claims in place of a valid QR scan.
  • Mark a voucher as redeemed without delivering the deal.
  • Redeem vouchers outside of the deal's stated validity window.
Only scan vouchers using the official InOnIt Vendor App. InOnIt is not liable for unauthorized redemptions made outside the app.

7.1 No-Refund Platform Model. InOnIt operates on a strict no-refund policy. All sales are final once a customer completes a purchase. Vendors are not required to issue refunds to customers, except as mandated by applicable consumer protection law.

7.2 Vendor-Initiated Cancellation. If a Vendor cancels, discontinues, or is unable to honor a deal after vouchers have been sold, InOnIt reserves the right to issue refunds to affected customers at the Vendor's expense, including any associated processing costs.

7.3 Unredeemed Vouchers. Unredeemed vouchers that have passed their expiry date are considered fulfilled and will not generate a payout obligation to the Vendor. Revenue from expired unredeemed vouchers is retained by InOnIt.

7.4 Goodwill Exceptions. InOnIt may, at its sole discretion, issue a goodwill credit or alternative resolution to a customer in cases of demonstrated vendor failure or poor service. InOnIt will seek to recover associated costs from the Vendor in such cases.

InOnIt operates a complimentary influencer marketing program for qualifying newly onboarded vendors. This program is designed to drive initial awareness and customer traffic to new listings at no cost to the Vendor.

8.1 Eligibility. The influencer marketing program is available to vendors who have completed onboarding, published at least one active deal, and meet InOnIt's listing quality standards at the time of enrollment. Participation is subject to InOnIt's sole discretion and availability of program resources.

8.2 What Is Included. Qualifying vendors may receive complimentary promotion of their deal(s) through InOnIt's network of influencer partners across Instagram and TikTok. The scope, timing, format, and specific influencers used are determined entirely by InOnIt. InOnIt makes no guarantees regarding the number of posts, impressions, reach, or resulting sales generated through this program.

8.3 No Compensation. Participation in the influencer marketing program is provided at no charge to the Vendor. InOnIt does not guarantee any minimum performance outcome. The program does not constitute a paid advertising arrangement and cannot be exchanged for cash, credit, or reduced commission rates.

8.4 Content & Approval. InOnIt or its influencer partners may create and publish content featuring the Vendor's business, deal, or premises. By participating in this program, you grant InOnIt and its authorized influencer partners a limited license to reference, photograph, and promote your business and deal in connection with the InOnIt platform. You will be notified before any campaign goes live and may request reasonable corrections to factual inaccuracies.

8.5 FTC Compliance. All influencer content published as part of this program will comply with FTC disclosure guidelines, including the use of appropriate partnership or advertising disclosures where required.

8.6 Program Availability. The influencer marketing program is subject to change, suspension, or discontinuation at any time without notice. Inclusion in the program in one period does not guarantee participation in any future period.

The influencer program is a complimentary benefit — no additional fees or commission rates apply. Standard 25% platform commission applies to all transactions regardless of how the customer discovered your deal.

9.1 Vendor Responsibility. Vendors are solely responsible for determining, collecting, remitting, and reporting all applicable taxes — including sales tax, use tax, and income tax — associated with services or products sold through the Platform.

9.2 Digital Voucher Tax Treatment. The sale of a digital voucher through InOnIt is generally not subject to sales tax at the point of purchase in most U.S. states. Sales tax obligations typically arise when the customer redeems the voucher for the underlying service or product. Vendors should consult a qualified tax advisor regarding their specific obligations.

9.3 IRS Form 1099-K. If your annual gross payments processed through InOnIt exceed the applicable IRS threshold, Stripe Connect will issue a Form 1099-K on your behalf. You are responsible for ensuring your tax identification information in your Stripe account is accurate and current.

9.4 InOnIt's Role. InOnIt does not provide tax advice. Nothing in this Agreement constitutes tax, legal, or accounting guidance. Vendors should seek independent professional counsel for tax matters.

InOnIt is a premium lifestyle platform. Vendors are expected to uphold the quality and integrity of the platform experience at all times. The following conduct is strictly prohibited:

  • Providing false, inaccurate, or misleading information in any deal listing, profile, or communication.
  • Discriminating against customers on the basis of race, color, religion, national origin, sex, sexual orientation, gender identity, disability, or any other protected characteristic.
  • Attempting to circumvent the InOnIt platform by soliciting direct purchases from customers acquired through InOnIt.
  • Posting fake reviews, incentivizing false testimonials, or otherwise manipulating the Platform's reputation system.
  • Engaging in any form of fraud, money laundering, or financial misrepresentation.
  • Using customer data obtained through InOnIt for any purpose other than fulfilling the purchased deal.
  • Harassment, threats, or abusive communications directed at InOnIt staff, customers, or other vendors.
Violation of any conduct standard may result in immediate account suspension, permanent removal from the Platform, and potential legal action.

11.1 Vendor Content License. By submitting photos, descriptions, logos, or other content to InOnIt ("Vendor Content"), you grant InOnIt a non-exclusive, royalty-free, worldwide license to use, reproduce, modify, adapt, and display that Vendor Content solely for the purposes of operating, marketing, and promoting the Platform and your listing.

11.2 Vendor Ownership. You retain ownership of your Vendor Content. The license granted above terminates upon the removal of your listing or closure of your account, except for content already incorporated into marketing materials already in circulation.

11.3 InOnIt IP. The InOnIt name, logo, app design, and all Platform functionality are the exclusive intellectual property of InOnIt, LLC You may not use any InOnIt branding without prior written consent, except to indicate that your business is "Available on InOnIt."

11.4 No Infringement. You represent and warrant that your Vendor Content does not infringe any third-party intellectual property rights. You agree to indemnify InOnIt against any claims arising from your content.

12.1 Vendor Data. InOnIt collects and processes vendor business information, transaction data, and usage analytics in accordance with our Privacy Policy, which is incorporated by reference into this Agreement.

12.2 Customer Data. Vendors will receive only the minimum customer information necessary to fulfill a deal (e.g., first name and booking reference). Vendors must not store, resell, or use customer personal data for any purpose beyond deal fulfillment, and must comply with all applicable data protection laws, including the California Consumer Privacy Act (CCPA) where applicable.

12.3 Data Security. Vendors are responsible for maintaining reasonable security practices to protect any customer data they receive. In the event of a data breach involving customer information, Vendors must notify InOnIt within 48 hours of discovery.

13.1 Termination by Vendor. You may close your vendor account at any time by contacting InOnIt at vendors@inonitapp.com or through the Vendor Portal settings.

13.2 Post-Deletion Obligations. Account deletion does not immediately extinguish your obligations to customers who have already purchased your deals. Upon account deletion:

  • Your deal listings will be removed from the customer-facing app immediately so no new purchases can be made.
  • Customers who have already purchased a deal retain their QR voucher and the right to redeem it through its 7-day validity window.
  • You will retain scanner access to the InOnIt Vendor App for 14 days following account deletion, solely to honor outstanding vouchers. This access is limited to voucher scanning only — dashboard, financial, and account management features will be disabled.
  • You are legally obligated to honor all valid, unexpired vouchers presented during this 14-day window, exactly as you would have done while your account was active.
Failure to honor valid vouchers after account deletion will result in InOnIt withholding any pending payout funds. Withheld funds may be used to compensate affected customers via in-app credits or alternative resolutions. Any remaining withheld funds after customer remediation will be retained by InOnIt.

13.3 Final Payout. Upon requesting account deletion, InOnIt will place a 14-day hold on all pending payouts. This hold begins on the date the deletion request is received, regardless of when vouchers were redeemed. After the 14-day hold period has elapsed and all customer redemption obligations have been assessed, any remaining funds owed to the Vendor will be disbursed on the next available Monday payout cycle. InOnIt reserves the right to withhold or offset any amounts owed by the Vendor under this Agreement before releasing final payouts.

13.4 Data Deletion. Following account deletion and the conclusion of any outstanding financial or legal obligations, InOnIt will delete your personal and business account data in accordance with our Privacy Policy, subject to data retention requirements mandated by law (such as financial records).

13.5 Termination by InOnIt. InOnIt may suspend or permanently terminate your account at any time, with or without notice, for:

  • Breach of any provision of this Agreement.
  • Repeated customer complaints or poor deal fulfillment.
  • Suspicious, fraudulent, or illegal activity.
  • Any conduct that InOnIt reasonably believes harms the platform, its customers, or its reputation.

13.6 Effect of InOnIt-Initiated Termination. Upon termination by InOnIt, the following takes effect immediately:

  • The Vendor's access to the Vendor Portal and scanner is immediately and permanently revoked. There is no grace period or 14-day scanner window for InOnIt-initiated terminations.
  • All customers with outstanding unredeemed vouchers will receive a full refund, including the customer platform fee, within 3–5 business days. InOnIt will process these refunds on the Vendor's behalf.
  • InOnIt will place a 14-day hold on all pending Vendor payouts from the date of termination to cover the cost of customer refunds and any associated fees.
  • InOnIt will recover from the Vendor's withheld funds all Stripe processing fees incurred on its behalf as a direct result of issuing customer refunds. This includes both the original transaction processing fees and any refund-related fees charged by Stripe. The Vendor agrees to reimburse InOnIt for any such fees that exceed the withheld payout balance.
  • Any remaining withheld funds after customer refunds and fee recovery have been deducted will be released to the Vendor on the next available Monday payout cycle following the close of the 14-day hold period.
By agreeing to these terms, the Vendor acknowledges that InOnIt-initiated termination may result in full forfeiture of withheld funds if refund costs and Stripe fees exceed pending payout amounts.

14.1 Platform as Marketplace. InOnIt is a technology marketplace platform. We are not a party to any transaction between Vendors and customers, and we do not guarantee the quality, safety, or legality of any deal offered on the Platform.

14.2 No Warranty. The Platform is provided "as is" and "as available" without warranties of any kind, express or implied. InOnIt does not warrant that the Platform will be uninterrupted, error-free, or free of viruses or harmful components.

14.3 Cap on Liability. To the maximum extent permitted by law, InOnIt's total liability to any Vendor arising out of or in connection with this Agreement shall not exceed the total commission fees paid by that Vendor to InOnIt in the three (3) months preceding the event giving rise to the claim.

14.4 Consequential Damages. In no event shall InOnIt be liable for any indirect, incidental, special, consequential, or punitive damages, including lost profits, loss of data, or loss of goodwill, even if advised of the possibility of such damages.

14.5 Indemnification. You agree to indemnify, defend, and hold harmless InOnIt, its officers, directors, employees, and agents from and against any claims, damages, losses, or expenses (including reasonable legal fees) arising from your use of the Platform, your deal listings, your deal fulfillment, or your violation of this Agreement.

15.1 Governing Law. This Agreement shall be governed by and construed in accordance with the laws of the State of New York, without regard to its conflict of law principles.

15.2 Informal Resolution. Before initiating any formal proceeding, the parties agree to attempt to resolve any dispute through good-faith negotiation for a period of 30 days from written notice of the dispute.

15.3 Arbitration. Any dispute not resolved informally shall be settled by binding arbitration administered by the American Arbitration Association ("AAA") under its Commercial Arbitration Rules, with proceedings conducted in New York, New York. Judgment on the arbitration award may be entered in any court of competent jurisdiction.

15.4 Class Action Waiver. You agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action.

InOnIt reserves the right to update or modify this Agreement at any time. When material changes are made, we will notify registered Vendors via the Vendor App, email, or both, at least 30 days before the changes take effect. Your continued use of the Platform after the effective date of any amendment constitutes your acceptance of the updated Agreement.

The most current version of this Agreement is always available within your InOnIt Vendor App under Settings → Legal.

Neither InOnIt nor any Vendor shall be held liable for any failure or delay in performance arising from causes beyond the party's reasonable control, including acts of God, natural disasters, pandemics, government orders, civil unrest, power outages, or internet infrastructure failures ("Force Majeure Event").

If a Force Majeure Event prevents a Vendor from fulfilling active vouchers, the Vendor must notify InOnIt within 48 hours at vendors@inonitapp.com. InOnIt will determine, at its sole discretion, whether to issue affected customers an account credit or alternative resolution, and may seek cost recovery from the Vendor accordingly.

19.1 SMS Consent. By registering as a Vendor and providing a phone number, you consent to receive transactional SMS messages from InOnIt, including payout confirmations, redemption alerts, and policy updates. Message and data rates may apply. Reply STOP at any time to opt out of non-essential messages.

19.2 Email Communications. By registering, you consent to receive transactional emails from InOnIt. Any marketing or promotional emails will only be sent with your opt-in consent and will include a clearly visible unsubscribe mechanism in compliance with the CAN-SPAM Act. Opting out of transactional emails is not available while your account is active as they are operationally essential.

19.3 Carrier Fees. InOnIt is not responsible for message or data charges imposed by your mobile carrier.

InOnIt may, upon reasonable written notice of no fewer than 5 business days, review a Vendor's deal fulfillment records, redemption practices, and customer service history as they relate to listings on the Platform. This right exists solely to ensure compliance with this Agreement and to protect the integrity of the marketplace.

Vendors agree to cooperate with any such review and provide requested documentation within 10 business days. Failure to cooperate may be treated as a material breach of this Agreement.

Nothing in this Agreement prevents a Vendor from listing deals, offers, or services on other platforms, marketplaces, or directly to customers outside of InOnIt. However, Vendors may not use customer contact information, behavioral data, or any data obtained through InOnIt to solicit those customers outside the Platform. This Agreement does not grant InOnIt exclusive rights over the Vendor's business.

No failure or delay by InOnIt in exercising any right, power, or remedy under this Agreement shall operate as a waiver thereof. No single or partial exercise of any right shall preclude any further exercise of that right or any other right. A waiver of any default shall not be construed as a waiver of any subsequent default of the same or any other provision.

If any provision of this Agreement is found to be invalid, illegal, or unenforceable, that provision shall be modified to the minimum extent necessary to make it enforceable, or severed if modification is not possible. The remaining provisions shall continue in full force and effect.

This Agreement, together with any policies incorporated by reference, constitutes the entire agreement between InOnIt and the Vendor with respect to the subject matter herein. It supersedes all prior agreements, representations, or understandings, whether written or oral. No modification is effective unless made in writing and accepted by both parties, except as provided under Section 16 (Amendments).
